DEALER TERMS & CONDITIONS

These Dealer Terms & Conditions (“Agreement”) govern participation in the GSO Fishing Dealer Program operated by Gunnison Sports Outfitters, LLC d/b/a GSO Fishing (“GSO Fishing,” “Company,” “we,” “our,” or “us”).
By applying for, accessing, purchasing through, or participating in the Dealer Program, the dealer (“Dealer,” “you,” or “your”) agrees to be bound by this Agreement.
1. DEALER ELIGIBILITY AND APPROVAL
Dealer accounts are available only to qualified businesses approved by GSO Fishing.
Applicants may be required to provide:
Business name
Business address
Contact information
Website or social media information
Resale certificate or tax documentation, when applicable
Other information reasonably requested by GSO Fishing
GSO Fishing reserves the right to approve, deny, suspend, or terminate any dealer account at its sole discretion.
Dealer status does not create any exclusive territory, exclusive sales rights, or guaranteed product availability unless expressly agreed to in writing.
2. DEALER RESPONSIBILITIES
Dealers agree to:
Provide accurate and current business information
Maintain any licenses or permits required for their business operations
Conduct business in a professional manner
Comply with all applicable federal, state, and local laws
Keep account credentials secure and confidential
Promptly notify GSO Fishing of changes to ownership, billing information, or contact information
Dealers are responsible for all activity occurring under their account.
3. CONFIDENTIALITY
Dealer pricing, dealer discounts, catalogs, training materials, dealer documents, wholesale pricing structures, business strategies, dealer communications, and dealer-only resources are confidential and proprietary information.
Dealers agree not to:
Share dealer pricing with the public
Share dealer pricing with non-approved dealers
Share dealer documents or training materials
Disclose confidential information to competitors
Publish confidential dealer information online or through social media
This confidentiality obligation survives termination of the dealer relationship.
4. DEALER TRAINING MATERIALS
Any dealer training videos, webinars, educational materials, product training resources, dealer guides, pricing sheets, or support materials provided by GSO Fishing remain the exclusive property of GSO Fishing.
Dealers may not:
Copy or reproduce training materials
Share training materials outside their organization
Sell or redistribute training materials
Use training materials for competing businesses
Access may be revoked at any time upon termination of the dealer relationship.
5. INTELLECTUAL PROPERTY
All GSO Fishing trademarks, logos, product names, photographs, videos, catalogs, marketing materials, educational content, and proprietary information remain the property of GSO Fishing.
Dealers may use approved GSO Fishing marketing materials solely for the purpose of promoting authorized GSO Fishing products.
Dealers may not:
Alter logos or branding
Remove trademarks or copyright notices
Create misleading advertising using GSO Fishing assets
Represent themselves as owners of GSO Fishing intellectual property
6. ORDERING
There are currently no minimum opening orders and no minimum reorder requirements.
All orders are subject to product availability.
GSO Fishing reserves the right to:
Limit quantities
Refuse orders
Correct pricing errors
Discontinue products
Modify product offerings without notice
Acceptance of an order does not guarantee future product availability.
7. PRICING
Dealer pricing is subject to change without notice.
Pricing in effect at the time an order is accepted shall govern that order.
GSO Fishing reserves the right to modify wholesale pricing, dealer discounts, product packaging, product configurations, and program benefits at any time.
8. PAYMENT TERMS
Dealer invoices are generally issued when orders ship.
Accepted payment methods may include:
Check
ACH or electronic payment
Credit card
Credit card payments are subject to a 3% processing fee.
Approved dealers may be granted Net 30 payment terms.
Payment is due within thirty (30) days of the invoice date unless otherwise agreed in writing.
GSO Fishing may revoke payment privileges or modify payment requirements at any time.
9. LATE PAYMENTS
Dealers are expected to pay invoices according to agreed payment terms.
A thirty (30) day grace period may be provided after the invoice due date.
If payment remains outstanding sixty (60) days after the invoice date:
Dealer accounts may be suspended
New orders may be delayed or refused
Dealer discounts may be temporarily removed
Access to dealer resources may be suspended
Outstanding balances may be subject to a late fee of 1.5% per month (18% annually) until paid in full.
Accounts may be restored once all outstanding balances and applicable fees have been paid.
10. COLLECTION COSTS
To the extent permitted by law, Dealer agrees to reimburse GSO Fishing for reasonable collection costs, attorney fees, court costs, and other expenses incurred in collecting overdue balances.
11. SHIPPING AND RISK OF LOSS
Risk of loss and title transfer to Dealer upon delivery of products to the shipping carrier.
Delivery dates are estimates only and are not guaranteed.
GSO Fishing is not responsible for carrier delays, weather-related delays, wildfire impacts, transportation interruptions, or other circumstances beyond our control.
12. PRODUCT AVAILABILITY AND CHANGES
Product specifications, colors, packaging, materials, and product offerings may change without notice.
GSO Fishing reserves the right to discontinue, replace, or modify products at any time.
13. PRODUCT SWAP PROGRAM
GSO Fishing offers a Product Swap Program designed to help dealers exchange qualifying inventory that has remained unsold for at least ninety (90) days.
To qualify:
Products must be new and unopened
Products must be free of writing, stickers, labels, price markings, or damage
Products must be in resalable condition
Products must have been originally purchased from GSO Fishing
All swap requests are subject to approval.
Dealers are responsible for return shipping costs unless otherwise agreed.
Approval of one swap request does not guarantee approval of future requests.
GSO Fishing reserves the right to modify or discontinue the Product Swap Program at any time.
14. LIMITATION OF LIABILITY
To the fullest extent permitted by law, GSO Fishing shall not be liable for any indirect, incidental, consequential, special, punitive, or business-related damages, including lost profits, lost sales, lost opportunities, or loss of goodwill.
GSO Fishing’s total liability shall not exceed the amount paid by Dealer for the specific products giving rise to the claim.
15. TERMINATION
Either party may terminate the dealer relationship at any time.
GSO Fishing reserves the right to suspend or terminate dealer accounts for:
Non-payment
Violation of confidentiality obligations
Misuse of dealer resources
Misrepresentation of GSO Fishing products
Violation of this Agreement
Termination does not eliminate outstanding payment obligations.
16. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Colorado without regard to conflict of law principles.
Any dispute arising from this Agreement shall be brought in a court of competent jurisdiction located in Colorado.
17. CHANGES TO THIS AGREEMENT
GSO Fishing may update these Dealer Terms & Conditions from time to time.
Updated versions become effective when posted on the dealer website.
Continued participation in the Dealer Program constitutes acceptance of any revised terms.
